GENERAL TERMS OF SERVICE
Luna Studio | Interior Design | Singapore UEN: 53442054XWelcome to Luna Studio. We are committed to transforming your vision into reality. This document outlines our professional relationship, ensuring transparency, protection, and a shared understanding of the renovation process.
1. DEFINITIONS & FRAMEWORK
2. OUR ROLE AS YOUR COORDINATOR
2.1 Project Lead: Luna Studio acts as the lead consultant. We do not employ in-house laborers; instead, we curate and manage a network of independent specialist subcontractors.
2.2 Appointment Authority: You authorize us to appoint and issue instructions to these subcontractors. While we coordinate the works, these specialists remain responsible for their respective trade standards and statutory licensing (e.g., LEW for electrical works).
2.3 Design Iterations: To ensure design alignment, our fee includes up to three (3) rounds of amendments to 3D renderings. Further changes will be treated as a Variation Order (VO).
3. QUOTATION & FORMATION OF CONTRACT
3.1 Validity: Quotations are valid for twenty-one (21) days. Acceptance after this period may be subject to price adjustments due to fluctuating material or labor costs.
3.2 Commencement: A binding agreement is formed upon the signing of the Quotation and the receipt of the initial Deposit.
4. PAYMENT TERMS & SECURITY OF PAYMENT (SOPA)
4.1 SOPA Compliance: In accordance with Singapore Law, all invoices issued are formal Payment Claims.
4.2 Payment Response: Under SOPA, if you dispute any amount in an invoice, you must provide a written Payment Response within seven (7) days of the claim. If no response is provided, the full amount is deemed acknowledged.
4.3 Late Payment: Payments delayed beyond seven (7) days may result in a temporary suspension of works. Interest of 1.5% per month shall apply to all overdue balances.
4.4 Retention of Title: Title to all materials and custom joinery remains with Luna Studio until full payment for the respective milestone is received.
5. VARIATIONS & SITE REALITIES
5.1 Flexible Changes: We welcome adjustments. Any deviation from the original scope will be documented as a Variation Order (VO).
5.2 Digital Approval: For efficiency, approvals via WhatsApp, Telegram, or Email are legally binding and constitute an instruction for us to proceed.
5.3 Latent Conditions: Quotations cover visible site conditions. Should hacking reveal hidden structural defects, pipe leakages, or "spalling concrete," these pre-existing issues must be rectified via a separate VO before proceeding.
6. REGULATORY COMPLIANCE & PERMITS
6.1 Applications: We will facilitate HDB/Management (MCST) permit applications. Where required by law, we will nominate an HDB-Registered Renovation Contractor to act as the applicant.
6.2 Third-Party Costs: Fees for Professional Engineers (PE), Town Council haulage, or MCST deposits are to be borne by the Client.
6.3 Working Hours: We strictly adhere to HDB/BCA "Quiet Time" and "Noisy Work" regulations to ensure your renovation remains a good neighbor in the community.
7. SITE SAFETY & COOPERATION
7.1 Communication Protocol: For your safety and to maintain insurance coverage, all instructions must be directed to Luna Studio, not directly to subcontractors on-site. Direct instructions to workers may void warranties or lead to safety liabilities.
7.2 Security: Please remove all personal valuables from the site. Luna Studio and its subcontractors cannot be held liable for the loss of items not part of the contracted Works.
8. MATERIAL CHARACTERISTICS
8.1 Natural Variations: The Client acknowledges that natural materials (e.g., marble, wood, leather) possess inherent variations in grain, color, and texture. Such characteristics are signs of authenticity and are not considered defects.
8.2 Substitutions: If a specified material becomes unavailable, we will provide a comparable alternative for your approval.
9. INTELLECTUAL PROPERTY
9.1 Ownership: All drawings, 3D renders, and design concepts remain the intellectual property of Luna Studio.
9.2 Usage: Upon full payment, the Client is granted a license to use the designs for the specified project. Designs may not be shared with third-party contractors for execution without our written consent.
10. QUALITY ASSURANCE (WARRANTY)
10.1 Warranty Period: We provide a 12-month Warranty on workmanship starting from the date of Substantial Completion.
10.2 Scope: In line with the Consumer Protection (Fair Trading) Act, we will repair or replace workmanship defects.
10.3 Exclusions: The warranty does not cover:
11. TIMELINE & HANDOVER
11.1 Excusable Delays: Timelines are estimates. Luna Studio is not liable for delays caused by permit approvals, global supply chain disruptions, or Force Majeure.
11.2 Early Occupation: If the Client moves furniture in or occupies the premises before the formal handover, the project is deemed Substantially Complete, and the Warranty period begins immediately.
12. CANCELLATION & TERMINATION
12.1 Pre-Commencement: If the Client cancels after signing but before site works begin, a fee of 20% of the Contract Sum applies to cover design man-hours and lost opportunity costs.
12.2 Mid-Project: If cancelled during works, the Client is liable for:
13. PRIVACY & DISPUTE RESOLUTION
13.1 PDPA: We handle your personal data in accordance with the Personal Data Protection Act. Data is used only for project management and warranty purposes.
13.2 Photography: Luna Studio reserves the right to photograph the completed project for marketing purposes. We commit to protecting your privacy by never disclosing unit numbers or personal identities.
13.3 Amicable Resolution: Should a dispute arise, both parties agree to first seek Mediation through the Singapore Mediation Centre (SMC) or CASE before pursuing legal action. This agreement is governed by the laws of Singapore.
